Indemnity Waiver Agreement
Effective Date: September 18, 2026
This Indemnity Waiver Agreement (“Agreement”) applies to every purchase made from Zen Well Labs through zenwelllabs.com. By placing an order, you (“Buyer”) agree to the following terms.
1. Research Use Only
Buyer acknowledges that all products sold by Zen Well Labs are research chemicals intended strictly for in vitro laboratory research. Products are not for human or animal consumption, clinical use, diagnostic use or any other use outside of laboratory research.
2. Buyer Qualifications
Buyer represents that they are at least 21 years of age, legally able to enter into this Agreement, and knowledgeable in the safe handling, storage and disposal of research chemicals.
3. Assumption of Risk
Buyer assumes full responsibility and all risk for the handling, storage, use and disposal of any product purchased from Zen Well Labs once it is delivered.
4. Indemnification
Buyer agrees to indemnify, defend and hold harmless Zen Well Labs, its owners, officers, employees, affiliates and agents from any and all claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from or related to Buyer’s purchase, possession, handling, use or misuse of any product, or Buyer’s violation of this Agreement or any applicable law.
5. Release of Liability
To the fullest extent permitted by law, Buyer releases Zen Well Labs from any liability for injury, illness, damage or loss resulting from the use or misuse of any product.
6. Compliance With Law
Buyer is solely responsible for complying with all federal, state and local laws and regulations that apply to the purchase, possession and use of the products.
7. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-law rules.
8. Acceptance
Placing an order on zenwelllabs.com constitutes Buyer’s acceptance of this Agreement, our Terms of Service and our Research Use Disclaimer.
